TERMS & CONDITIONS
Terms and Conditions – IOG Offer via CEOI Member Marketplace
1. Scope of Offer
• Offer applies exclusively to CEOI members accessing IOG services via the CEOI Member Marketplace.
• Provides preferred pricing on IOG's SCUTA platform and geopolitical advisory services as described.
2. Licence and Access
• Access to SCUTA is granted on a non-transferable, non-exclusive basis for the specified duration or tier purchased.
• Access credentials must not be shared or resold.
• IOG retains full ownership of SCUTA, its methodology, content, and outputs.
3. Fees and Payment
• All fees are payable in advance and non-refundable unless otherwise agreed inwriting by IOG.
• GST (Goods and Services Tax) applies to Australian clients as per current legislation.
• Pricing shown is in US dollars; AUD equivalent will be calculated at time of engagement.
4. Use of Information
• Information generated through SCUTA or IOG consulting is for internal business use only.
• Redistribution or publication of IOG intellectual property, reports, or data without written consent is prohibited.
5.Confidentiality
• IOG and the client mutually agree to protect any confidential information shared under this engagement.
• IOG may use aggregated, non-identifiable data for analytical or research purposes.
6.Limitation of Liability
• IOG's services provide strategic risk and opportunity insights; decisions made based on these insights remain the client's responsibility.
• IOG shall not be liable for indirect or consequential loss, including business interruption or profit loss, arising from the use of SCUTA or advisory outputs.
7. Data Privacy
• IOG complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
• Client data is securely stored and used only for the purposes of delivering agreed services.
8.Termination
• Either party may terminate the arrangement with written notice if the other materially breaches the terms.
• Upon termination, access to SCUTA will be withdrawn, and all data provided by IOG must be deleted or returned.
9.Intellectual Property
• SCUTA, its risk models, equations, indicators, graphics, and related materials are proprietary to IOG.
• Nothing in this offer transfers ownership or intellectual property rights.
10.Governing Law
• These terms are governed by the laws of Queensland, Australia.
• Any disputes will be subject to the jurisdiction of Queensland courts.
